By accessing or using Osmo Tools (the "Service"), available at osmotools.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We may update these terms from time to time, and your continued use of the Service constitutes acceptance of the revised terms.

2. Description of Service

Osmo Tools provides a collection of free, browser-based utilities for online sellers, including tools to generate SKUs, barcodes, invoices, packing slips, purchase orders, inventory sheets, HS code suggestions and shipping labels. The tools run client-side in your browser. We do not require an account, and by default we do not store the data you enter into the tools.

3. User Responsibilities & Acceptable Use

You agree that you will not:

• Use the Service for any unlawful, fraudulent or harmful purpose.
• Attempt to disrupt, overload, reverse engineer or gain unauthorized access to the Service or its underlying systems.
• Use the Service to generate documents or codes that misrepresent your business, products or transactions.
• Infringe the intellectual property or other rights of any third party.

You are solely responsible for the accuracy and legality of the data you enter and the documents you produce using the Service.

4. Intellectual Property

The Service, including its design, branding, text and underlying code, is owned by Osmo Tools and protected by applicable intellectual property laws. You retain all rights to the content and data you enter into the tools, as well as the documents and outputs you generate. These terms do not grant you any right to use our name, logo or branding without prior written permission.

5. Third-Party Links & Affiliate Disclosure

The Service may contain links to third-party websites or services that we do not own or control. We are not responsible for the content, policies or practices of any third-party sites. Some outbound links may be affiliate links, meaning we could earn a commission if you make a purchase through them, at no additional cost to you. The presence of any link does not imply endorsement.

6. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that the outputs it generates (such as SKUs, invoice numbers, HS codes or labels) will be accurate, complete or suitable for your specific legal, tax, customs or business needs. You are responsible for verifying all outputs before relying on them.

7. Limitation of Liability

To the maximum extent permitted by law, Osmo Tools and its operators shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of, or inability to use, the Service. Because the Service is provided free of charge, our total aggregate liability to you for any claim shall not exceed zero.

8. Termination

We may suspend or discontinue the Service, in whole or in part, at any time and without notice. We may also restrict your access to the Service if we believe you have violated these terms. The sections of these terms that by their nature should survive termination will continue to apply.

9. Changes to the Terms

We may revise these Terms of Service at any time. When we do, we will update the "Last updated" date at the top of this page. Material changes will take effect when posted, and your continued use of the Service after that point constitutes acceptance of the updated terms.

10. Governing Law

These terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York, USA.
